The terms behind working with us
What this website is and isn't, where a client relationship actually begins, and the responsibilities on both sides of an engagement.
These terms are a starting template for a US CA practice, not legal advice. Have counsel review them before publishing and align them with your actual engagement letter — particularly the fee, liability and governing-law sections, and your registered entity name.
Acceptance of these terms
These terms govern your use of the TAXandBiz website. By browsing this site or sending us an enquiry, you agree to them. If you do not agree, please do not use the site.
Professional services are governed by a separate written engagement letter. Where anything in these terms conflicts with a signed engagement letter, the engagement letter controls for that engagement.
No client relationship from this site
Using this website, reading its content, or sending us a message does not by itself create a professional CA–client relationship.
A client relationship begins only when we have agreed on scope in writing, you have signed an engagement letter, and we have confirmed acceptance of the engagement. Until then, please do not send us sensitive documents or government identifiers.
Information here is general, not advice
Everything published on this site — service descriptions, guides, FAQs, articles and examples — is general information about accounting and tax topics. It is not tax, legal, accounting or investment advice, and it is not a substitute for advice about your specific circumstances.
Tax law changes frequently and applies differently depending on your entity type, state, income and history. Do not act, or refrain from acting, on the basis of anything on this site without engaging a qualified professional to review your situation.

Your responsibilities as a client
Where we are engaged to perform services, the quality and timeliness of our work depends on what you provide. You agree to:
- Provide complete, accurate and timely information, records and documents.
- Review drafts we prepare and tell us promptly about anything that looks wrong or missing.
- Retain your own copies of source records and filed returns.
- Make all final decisions about your tax positions and business affairs — we advise, you decide.
You remain responsible for the accuracy of the information you supply and for meeting your own filing and payment obligations, including where a deadline is missed because information reached us too late to act on.
Fees and payment
Fees, scope and payment terms are set out in the engagement letter for each engagement. We quote a fixed price before work begins wherever the scope allows.
Work outside the agreed scope — for example additional entities, additional years, or responding to a notice that arises later — is quoted separately before it starts. Invoices are due on the terms stated in the engagement letter, and we may suspend work on overdue accounts.
Confidentiality
We treat client information as confidential and handle it as described in our Privacy Policy, including the protections that apply to tax return information under Internal Revenue Code section 7216.
We may disclose information where required by law, court order, or a lawful request from a regulatory or professional oversight body, and where you have given written authorisation.
Intellectual property
The content, layout, design and code of this website belong to TAXandBiz or its licensors. You may read, print and share pages for your own personal or internal business use.
You may not copy, republish, sell or adapt substantial parts of the site, or use its content to build a competing service, without our written permission.
Third-party links and tools
This site may link to external websites, and our services may involve third-party platforms such as accounting, payroll or document-exchange software. We do not control those third parties and are not responsible for their content, availability or practices.
Your use of a third-party platform is governed by that provider's own terms and privacy policy.
Limitation of liability
This website is provided on an as-is basis. To the fullest extent permitted by law, we disclaim liability for any loss arising from reliance on general information published here.
Liability arising from professional services is addressed in the applicable engagement letter, which may include an agreed limitation. Nothing in these terms limits any liability that cannot lawfully be limited, including liability for fraud.
Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The courts of California will have jurisdiction over any dispute arising from use of this website, unless a signed engagement letter specifies a different forum or a dispute-resolution process.
Changes to these terms
We may update these terms from time to time. The version published on this page, with the date shown alongside it, is the one that applies. Continuing to use the site after a change means you accept the updated terms.
