The IRS automatically issues CP215 notices imposing a $25,000 penalty for any foreign-owned single-member US LLC that fails to file Form 5472 by April 15. Zero income does NOT exempt you!

1. What is IRS Form 5472?

IRS Form 5472 (Information Return of a 25% Foreign-Owned U.S. Corporation or Foreign Corporation Engaged in a U.S. Trade or Business) is one of the most misunderstood yet dangerous tax compliance documents for non-US resident founders.

Under Treasury Regulation § 1.6038A-2, single-member US LLCs owned by foreign individuals are classified as "disregarded entities" for federal income tax purposes. However, for tax information reporting purposes, the IRS treats these single-member LLCs as domestic corporations. This means every foreign-owned single-member LLC must file an annual informational tax return using Form 5472 attached to a pro-forma Form 1120.

2. Who Must File Form 5472 & 1120?

You are legally required to file IRS Form 5472 if your business meets the following statutory criteria during the tax year:

  • The entity is a domestic US LLC or Corporation with at least 25% foreign direct or indirect owner equity.
  • The company engaged in at least one reportable transaction with a related foreign party during the tax year (which includes depositing initial capital or paying incorporation state fees).

Many non-resident founders mistakenly assume that if their US company made $0 in US sales, no tax return is required. In reality, the IRS considers capital deposits, bank setup funding, or paying state annual reports from personal funds as reportable transactions. Thus, $0 revenue LLCs must still file Form 5472 annually.

3. Comprehensive Classification of Reportable Transactions

Section 6038A specifies that any exchange of money, property, services, or debt between the US entity and its foreign owner (or related foreign entity) constitutes a reportable transaction:

Category 1

Capital Contributions & Owner Draws

Owner depositing personal funds into US LLC bank account or withdrawing profit distributions.

Category 2

Out-of-Pocket Business Expenses

Owner paying for state annual fees, domain names, hosting, or legal services out of pocket.

Category 3

Intercompany Management Fees

Management fees, consulting charges, or licensing royalties paid to a foreign parent entity.

Category 4

Shareholder Loans & Interest

Formal or informal loans extended between the foreign founder and the domestic US entity.

4. The $25,000 IRS Penalty & Defense Strategy

The penalty for failing to file Form 5472 by the due date (April 15, or October 15 with extension) is $25,000 per violation. Furthermore, if the failure continues for more than 90 days after IRS notification (CP215 notice), an additional penalty of $25,000 per 30-day period applies.
